OVERAGE PROVISIONS
These provisions provide that on each occasion that a trigger date occurs you must make an overage payment. Trigger dates are defined as being the earlier of:
a.Implementation of the relevant planning permission; or
b.Completion of an overage disposal.
A relevant planning permission is defined as being a planning permission in respect of which an overage payment has now or previously become due and planning permission is defined as being any outline or detailed planning permission for development.
The overage payment that will be due is 50% of the uplift in value of the property or the part of the property being sold.
There is a permitted use so this is a use that will not trigger the overage provisions. This is quite restrictive and is defined as being:
a.One stable block or field shelter and such ancillary temporary structures as are reasonably necessary for the purposes of and enjoyment of keeping horses on the property for private recreational use; and
b.The use of the land as grazing land with cows.
The overage will be on the property for a period of 20 years and will apply to each and every planning permission granted within that period. There will be a restriction on title which will prevent the sale of the land without obtaining the seller’s permission and confirmation that the overage provisions have been complied with or that they do not apply. The purchaser will also be required to pay their costs in obtaining this consent.
